Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website at archwayadvisorygroup.com (the "Site"), the MCP server tools, and any related services (collectively, the "Services") provided by Archway Advisory Group LLC ("Archway," "we," "us," or "our"), a Georgia limited liability company.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Description of Services

Archway provides governance advisory, operational improvement, and related consulting services to businesses. Through the Site and our MCP server, we offer self-service assessment tools including:

Governance Diagnostic — a structured governance posture assessment
Engagement Scoping — converts assessment results into scoped engagement recommendations with indicative pricing
R&D Risk Screener — screens R&D tax credit documentation exposure and audit-defense readiness

These tools run deterministic scoring logic on our servers. No AI models process your inputs on our infrastructure, and no inputs are stored beyond the duration of your request.

Advisory Nature of Services

All information, assessments, scores, recommendations, and outputs provided through the Services are for informational and advisory purposes only. They do not constitute and should not be relied upon as:

Legal advice or legal representation
Tax advice, tax return preparation, or CPA services
Certified public accounting or regulated financial services
A compliance certification or regulatory approval
A guarantee of any particular business outcome

You should consult qualified legal, tax, and financial professionals before making decisions based on any output from the Services. Archway is not a law firm, a CPA firm, or a regulated financial services provider.

Use of MCP Server Tools

Our MCP server tools are publicly accessible and do not require authentication or account creation. When you access these tools through a third-party platform (such as Claude by Anthropic), your use is also subject to that platform's terms of service. We are not responsible for the operation, availability, or policies of third-party platforms.

You agree not to:

Use the tools in any way that violates applicable law
Attempt to reverse-engineer, decompile, or extract the scoring logic
Submit false or misleading information to manipulate tool outputs
Use automated systems to make excessive requests that degrade service for others
Represent tool outputs as certified assessments, audits, or regulatory opinions

Indicative Pricing

Fee ranges and pricing estimates displayed by the Engagement Scoping tool and elsewhere on the Site are indicative only and do not constitute a binding offer, quote, or proposal. Actual engagement pricing is determined through a scoping process and documented in a signed scope of work.

Intellectual Property

All content, design, text, scoring methodologies, tool logic, and other materials on the Site and in the MCP server tools are the property of Archway Advisory Group LLC or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Services without our prior written consent.

You retain ownership of any information you submit through the Services (such as diagnostic inputs). By submitting information, you grant us a limited, non-exclusive license to process that information solely to provide the requested assessment output during your session.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or reliability of any assessment output, score, recommendation, or pricing estimate provided through the Services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARCHWAY ADVISORY GROUP LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ARCHWAY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Indemnification

You agree to indemnify, defend, and hold harmless Archway Advisory Group LLC, its members, managers, employees, and contractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any applicable law.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of such courts.

Modifications

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Your continued use of the Services after any modification constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
